Welcome to Meshulash Digital (“Agency,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern the digital marketing, development, creative, and consulting services we provide to you (“Client,” or “your”).

By signing a proposal, executing a Statement of Work (SOW), or making a payment to Meshulash Digital, you agree to be bound by these Terms.

1. Services & Scope of Work

  • Defined Scope: The specific deliverables, project milestones, monthly recurring services, and fees are defined in your accompanying Statement of Work (SOW) or Project Proposal.

  • Out of Scope: Any requests outside the agreed-upon SOW require a written amendment or change order and will result in additional fees.

  • Dependencies: Our timelines rely on your timely feedback. Meshulash Digital is not responsible for project delays caused by a client’s late delivery of assets, access permissions, or approvals.

2. Fees, Billing, & Payment

  • Payment Terms: Invoices are issued according to the schedule in your SOW (such as upfront deposits, monthly retainers, or milestone payments) and are due within 14 days of issuance.

  • Late Fees: Overdue balances will incur a late fee of 1.5% per month, calculated daily from the due date.

  • Work Suspension: If an invoice remains unpaid past its due date, Meshulash Digital reserves the right to pause all active campaigns, website management, and creative work until the account is settled in full.

3. Third-Party Services & Ad Spend

  • Ad Budgets: All third-party advertising spend (including Google Ads, Meta Ads, and TikTok Ads) is paid directly by the Client to the respective platform. Our fees cover campaign management and strategy only.

  • Platform Compliance: We navigate third-party platforms in good faith, but Meshulash Digital is not liable for sudden policy changes, account suspensions, or algorithmic updates implemented by platforms like Google, Meta, or Apple.

4. Intellectual Property (IP) Rights

  • Agency IP: We retain ownership of our pre-existing methodologies, proprietary code, internal tools, and templates used to build your assets.

  • Client Assets: You grant us a limited, non-exclusive license to use your brand assets (logos, images, copy) solely to execute your services.

  • Final Deliverables: Upon full and final payment of all outstanding invoices, ownership of the customized final deliverables (such as completed websites, ad creatives, and copy) transfers to the Client.

  • Portfolio Right: Meshulash Digital retains the right to display the completed work and your logo in our portfolio and marketing case studies unless a strict Non-Disclosure Agreement (NDA) is signed beforehand.

5. Term & Termination

  • Monthly Retainers: Either party may terminate a recurring monthly service by providing 30 days written notice before the next billing cycle.

  • Fixed-Term Projects: Fixed-fee projects cannot be terminated mid-way for convenience unless agreed upon by both parties in writing.

  • Termination for Cause: Either party may terminate immediately if the other party commits a material breach and fails to remedy it within 14 days of receiving written notice.

  • Final Billing: Upon termination, the Client will be billed for all hours or deliverables completed up to the effective termination date.

6. Confidentiality & Data Privacy

Both parties agree to protect and keep strictly confidential all non-public business information, data, and strategies shared during our engagement. Meshulash Digital handles consumer data in accordance with applicable privacy laws and standard digital security practices.

7. Limitation of Liability

To the maximum extent permitted by law, Meshulash Digital’s total liability for any claims arising out of or relating to our services is strictly limited to the total amount actually paid by the Client to the Agency during the 3 months immediately preceding the claim. We are not liable for lost profits, data loss, or indirect damages.

8. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Israel. Any legal disputes, claims, or proceedings arising out of this agreement will be handled exclusively in the competent courts of Israel in Tel Aviv..
